REFINANCING SELLER DEBT
The challenge: When the company moved to a 100% ESOP in 2018, they were hesitant about taking on bank financing, as they had never utilized bank debt. After a while, they became comfortable with the state of their ESOP and were interested in taking on bank debt to reduce their seller notes that were created from the original ESOP transaction.
The solution: Our team established a good relationship with the company over the years. When the company was ready, our team guided them through the process with their expertise and partnership, structuring the details and ensuring the company was comfortable with the bank financing package. The seller was able to receive significant liquidity with a defined path for future liquidity with the financing package our ESOP experts were able to provide.
SWITCHING TO A BETTER ESOP BANK
The challenge: After deciding to implement an ESOP, the company chose to work with a different bank at the time the ESOP was formed. Throughout the next few years, the company heard about Wintrust’s reputation in the ESOP space. They provided Wintrust an opportunity when they decided they were interested in additional liquidity to reduce seller notes from the original ESOP transaction.
